Terms and Conditions

Welcome to Syntaxa ("we," "us," or "our"). These Terms and Conditions ("Terms") govern your access to and use of the Syntaxa platform, including our CLI, APIs, website, and related services (collectively, the "Services"). By using Syntaxa, you agree to these Terms. If you do not agree, you must stop using our Services immediately.

1. Eligibility and Account Registration

You must be at least 18 years old and capable of forming a binding contract to use Syntaxa. To access certain features, you may be required to create an account and provide accurate, complete information. You are responsible for maintaining the confidentiality of your credentials and for all activities under your account.

2. Use of the Services

You may use Syntaxa solely for lawful purposes and in accordance with these Terms. You agree not to:

• Reverse engineer, decompile, or otherwise attempt to extract source code from Syntaxa's software or models.
• Circumvent usage limits, rate limits, or access controls.
• Upload or process content that violates applicable law or infringes on the intellectual property rights of others.
• Use Syntaxa to create or distribute malicious, misleading, or unethical AI-generated content.

Syntaxa grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services in accordance with these Terms.

3. Intellectual Property

All intellectual property in Syntaxa—including but not limited to the platform, documentation, AI models, plugins, architecture, UI/UX designs, and visual assets—is owned by Syntaxa, Inc. or its licensors.

You retain ownership of your input data, code repositories, and generated documentation, subject to the license below.

You grant Syntaxa a limited license to process and store your data as necessary to operate, maintain, and improve the Services. Syntaxa does not claim ownership of your code, configuration files, or generated documentation.

4. Data Processing and Confidentiality

Syntaxa analyzes code repositories and configuration files to generate documentation. By using the product, you acknowledge that:

• Syntaxa processes data you provide (e.g., source code, metadata) for the purpose of generating documentation and insights.
• Unless you are on an Enterprise Plan with an on-premises or self-hosted configuration, your data may be processed using third-party cloud infrastructure and AI model providers (e.g., OpenAI, Anthropic).
• Syntaxa automatically masks sensitive values (API keys, credentials) during processing.

We maintain strict access controls, encryption, and observability consistent with SOC 2 and GDPR standards.

5. AI-Generated Output

Syntaxa uses machine learning models to generate documentation and analysis. These outputs are generated automatically and may contain inaccuracies or omissions.

You are responsible for reviewing and validating all generated content before relying on it in production, compliance, or security contexts.

Syntaxa is not liable for any errors, losses, or damages resulting from reliance on AI-generated output.

6. Subscription and Payment

If you subscribe to a paid plan:

• Fees are billed monthly or annually in advance.
• All payments are non-refundable unless required by law.
• Syntaxa may change its pricing upon renewal with prior notice.
• Failure to pay may result in suspension or termination of your account.

7. Termination

You may stop using the Services at any time. Syntaxa may suspend or terminate your access if:

• You violate these Terms,
• Your use poses a security or legal risk, or
• The Services are discontinued.

Upon termination, your access ceases, and we may delete or anonymize your data after a reasonable retention period.

8. Disclaimer of Warranties

Syntaxa is provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to fitness for a particular purpose, reliability, or non-infringement.

We do not guarantee uninterrupted, error-free operation or that all generated outputs are accurate or complete.

9. Limitation of Liability

To the maximum extent permitted by law, Syntaxa shall not be liable for indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, or goodwill, arising from your use of the Services.

Our total liability in any matter arising from or related to these Terms is limited to the amount you paid to Syntaxa for the Services during the six months preceding the claim.

10. Indemnification

You agree to indemnify and hold harmless Syntaxa, its officers, directors, employees, and affiliates from any claims, losses, or damages arising from your use of the Services or violation of these Terms.

11. Governing Law

These Terms are governed by the laws of the State of California, United States, without regard to conflict of law principles. Any disputes will be resolved in the courts of Santa Clara County, California.

12. Changes to the Terms

We may update these Terms periodically. Continued use of Syntaxa after updates constitutes acceptance of the new Terms.
